1. Company Information
The XpertDirect platform and related services are operated by the XpertDirect management team, part of CIS Electronics Engineering SL, a company incorporated under the laws of Spain (collectively, "XpertDirect", "we", "us", or "our").
These Terms of Use govern access to and use of the XpertDirect website, platform, tools, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.
2. Parties and Purpose
XpertDirect is a technology platform facilitating the introduction of:
- Technology specialists ("Specialists")
- Companies, hiring organisations, and clients ("Clients")
to find and connect with each other for the purpose of discussing and agreeing freelance, consultancy, employment, or project-based engagements, including work packages.
Any contracts, engagements, or commercial arrangements are agreed directly between Clients and Specialists (or their respective affiliates).
XpertDirect is not:
- An employer
- A recruiter
- A staffing agency
- An employment intermediary
XpertDirect is not a party to any agreement entered into between Clients and Specialists.
Collectively, Specialists and Clients are referred to as "Users."
3. Scope of the Services
The Services allow Users to:
- Publish, structure, and manage job descriptions, work packages, and project requirements
- Create, manage, and display Specialists' profiles
- Discover and match structured requirements with Specialists' profiles
XpertDirect's role is strictly limited to facilitating discovery, visibility, and introductions between Users.
4. Use of AI Systems
XpertDirect uses AI-assisted systems solely to:
- Structure and classify user-submitted job, project, and profile information into structured formats
- Support discovery, matching, and recommendation functionality
AI systems do not make automated employment or hiring decisions.
All AI-generated or AI-assisted outputs:
- Are subject to human review
- Require explicit user confirmation
- Remain fully editable and under user control before activation or publication
XpertDirect does not use user-submitted data to train public AI models.
Users remain responsible for ensuring that any information submitted to the platform complies with their own confidentiality obligations and that they have the necessary rights to submit such information.
5. Fees and Pricing
Specialists
There are no fees charged to Specialists for using the platform.
Clients
XpertDirect operates as a specialist introduction platform and only charges clients based on success.

- XpertDirect reserves the right to update pricing at any time
- Pricing changes will only apply to briefs submitted after the date of change.
6. User Obligations
Users agree to:
- Use the Services lawfully and in compliance with applicable laws and platform terms
- Ensure the accuracy, legality, and ownership of any content submitted
- Refrain from scraping, automated monitoring, bulk data extraction, or unauthorised data collection
- Not misuse the platform in any way that may harm XpertDirect, other Users, or third parties
Client Confidentiality & Project Protection
- XpertDirect recognises that project descriptions may contain confidential technical, commercial, or strategic information. Protecting such information is a core principle of the platform.
- Clients remain in control of the information they choose to submit and are responsible for ensuring they have the right to share it. Where appropriate, clients should limit sensitive details and disclose additional confidential information only during private discussions.
- Access to project information is restricted to authorised users through authentication, access controls, and account-level data isolation.
- XpertDirect may use AI systems to structure project requirements and identify relevant expertise. Such processing is limited to platform functionality. Client data is not used to train public or shared AI models.
- XpertDirect implements appropriate technical and organisational safeguards, including encrypted data transmission, secure infrastructure, and controlled internal access, to protect project information.
- Users may choose to apply additional protections (such as NDAs) when sharing sensitive information. XpertDirect provides the platform for discovery and communication but is not a party to any agreements between users.

7. User Content
"User Content" includes all data, text, images, audio, video, or other materials submitted or displayed by Users on the platform.
By submitting User Content, you grant XpertDirect a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, publish, and distribute such content solely for the operation and improvement of the Services.
Users warrant that they hold all necessary rights to the content they submit.
XpertDirect reserves the right to remove or restrict access to any User Content at any time without notice if it violates these Terms or applicable law.
8. Intellectual Property
All platform technology, software, AI systems, branding, and proprietary content (excluding User Content) remain the exclusive property of XpertDirect.
Users are granted a limited, non-transferable licence to use the Services solely for their intended purpose.
Users may not sell, sublicense, copy, or commercially exploit any platform materials without prior written consent.
9. Data Protection
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
10. Compliance with EU AI Act
XpertDirect's AI systems are designed as limited-risk AI systems under the EU AI Act, incorporating:
- Transparency by design
- Human oversight
- User control and explainability
11. Limitation of Liability
The Services are provided on an "as-is" and "as-available" basis.
To the maximum extent permitted by law:
- XpertDirect disclaims all warranties
- XpertDirect shall not be liable for indirect, incidental, or consequential damages
- XpertDirect does not guarantee outcomes, engagements, or business success
XpertDirect is not responsible for User Content or for agreements made between Users.
12. Indemnity
Users agree to fully indemnify and hold harmless XpertDirect from any claims, damages, losses, or expenses arising from:
- Breach of these Terms
- Misuse of the Services
- Violation of applicable law
- Infringement of third-party rights
13. Termination
XpertDirect may suspend or terminate access to the Services at any time in the event of a breach of these Terms or misuse of the platform.
14. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Variations
These Terms may be updated from time to time. Continued use of the Services constitutes acceptance of the latest version.
16. Entire Agreement
These Terms constitute the entire agreement between Users and XpertDirect regarding use of the Services and supersede all prior agreements or understandings.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.
